The method 5W2H in the design and in the project management

When and why to open a srl?

 


Not always the vat number as independant professional is the right option. In many cases and for different type of activities it can be more useful to open a srl (limited responsability society), expecially if we have to ask for higher funding. 

The srl differently from professionals have more opportunities to comply for funding because they have already as base a share capital. 

When we open a srl we haven't to forget there are management expenses and some major obligations as regards a professional vat number. 

Before we have to see if srl is unipersonale (unique partner) or it has more partners. 

We have to remember that a srl is a legal person to which it's asssigned a fiscal code more than a vat number and it's registered in commercial chamber in a known form. At the end of year, moreover, it's obbliged to produce the accounting books certified from an auditor of accounts. 

On the foundation it have to sign a memorandom of association in which they have to advise the members and others technical things tied the constitution. 

An ordinary srl asks for ten thousand euros of initial capital for the foundation more others technical expenses tied the management. 

If we haven't that amount we can opt for a minor amount that we have to cover with next earnings. In the case we aren't able to cover we have to risk the bankruptcy because at the delivery of accounting books it's obvious a fund problem. 

The forms of srl are commercial, artisanal or agricultural. 

For artisanal or agricultural srl at least one of the members of srl must be a craftsman or IAP (agricultural entrepreneur as main title) registered at  INPS in the relative section. More than the legal person srl also all the members of srl can be registered to INPS in one of the forms asked for work. 

Among the srl we find also that identified as innovative startup registered in the special section of the business register, these to remain in the register have to mantain the asked requisites each year. 

These startup need to have at least one of the three requisites below: 

  1.     to have a quote of 15% at disposition of research and development, 
  2.     the work force have to provide 1/3 of doctor in research or 2/3 of laureates, 
  3.     the enterprise is owner of a patent. 

The law for these provide incentivies and semplifications more than the ordinary in particular at the foundation it's possible to opt for a minor capital compared to ordinary and in the case of bankruptcy it has procedure more swift. 

In the case it's grown and it's in the position to continue as normal enterprise it's initiated toward an innovative PMI (small medium enterprise).

Notes from creative journeys: “The thinking behind design”

  I begin again to write after a long time of silence and after I have kept at a safe distance the world of writing.
